These terms are designed for a Dutch software services company providing websites, portals, and related digital services.

2. Scope of services

Cybinix provides website design, website development, B2B portal development, restaurant digital systems, integrations, and related digital services. The exact scope of work is described in the relevant quotation, proposal, or agreement.

3. Quotations and agreement formation

  • All quotations are non-binding unless explicitly stated otherwise
  • An agreement is formed when the client accepts a quotation or when Cybinix begins work following written approval
  • Quoted prices may depend on assumptions about scope, content, and delivery timing

4. Pricing and VAT

Unless explicitly stated otherwise, prices on the website and in quotations are intended as starting prices. Update this clause to match your real approach, for example:

  • B2B version: all prices exclude 21% VAT unless stated otherwise
  • Consumer version: displayed prices include VAT where legally required

5. Payment terms

  • Cybinix may require an advance payment or project deposit before work starts
  • Invoices must be paid within the term stated on the invoice or quotation
  • If payment is overdue, Cybinix may suspend work until payment is received

6. Client responsibilities

  • The client must provide accurate information, content, and feedback in time
  • Delays caused by missing input may affect delivery dates
  • The client remains responsible for the legality and accuracy of supplied content

7. Revisions and scope changes

The number of revisions included in a project should be defined in the quotation or proposal. Requests outside the agreed scope may be quoted separately as additional work.

8. Delivery and timelines

Delivery estimates are indicative unless explicitly agreed as binding. Cybinix depends on timely feedback and materials from the client.

9. Intellectual property

Unless otherwise agreed in writing, Cybinix retains ownership of its pre-existing know-how, frameworks, reusable components, and tools. Transfer of final deliverables, where agreed, takes place only after full payment.

10. Support and maintenance

Ongoing support, maintenance, updates, hosting, or monitoring are only included if expressly agreed in writing.

11. Liability

Cybinix’s liability is limited to direct damages and only up to the amount paid by the client for the relevant assignment, unless mandatory law provides otherwise. Cybinix is not liable for indirect or consequential damages such as lost profit, lost opportunities, or business interruption, except where such exclusion is not legally permitted.

12. Termination

If a project is terminated early, Cybinix may invoice work already performed, costs already incurred, and any reserved project time if reasonable and agreed.

13. Complaints

Complaints about services or invoices should be submitted as soon as possible via info@cybinix.com. Cybinix will review the complaint and respond within a reasonable period.

14. Governing law

Dutch law applies to these terms and any agreement between Cybinix and the client, unless mandatory law requires otherwise.

These terms are a strong website-ready service template, but you should still review them against your actual workflow, deposit structure, revision policy, hosting model, and whether you serve only businesses or also consumers.
